The Sr. Manager – CS & Legal will lead the corporate governance, legal compliance, and entity-level structuring activities for Hotz Industries Group. The role is critical in ensuring regulatory adherence, managing board and shareholder processes, overseeing corporate restructuring transactions, and providing legal guidance to safeguard the organization’s interests.

• Corporate Actions & Restructuring:

  • Lead end-to-end execution of mergers, amalgamations, demergers, and other corporate restructuring initiatives.
  • Conduct due diligence, drafting, structuring, and regulatory filings related to corporate actions.
• Regulatory Compliance & Governance:

  • Ensure ongoing compliance with the Companies Act, 2013, FEMA, and other applicable statutory frameworks.
  • Independently manage Board meetings, Committee meetings, and General Meetings (including drafting notices, agendas, and minutes).
  • Maintain statutory records, registers, and secretarial filings.
• Legal Advisory & Documentation:

  • Provide legal advisory on corporate and commercial matters impacting the group.
  • Draft, review, and negotiate legal agreements, contracts, and documentation to mitigate business risks.
• Stakeholder & Regulatory Liaison:

  • Liaise with regulatory authorities such as ROC, RBI, NCLT, and other statutory bodies.
  • Coordinate with shareholders, external legal counsel, and advisory partners.

• 14–18 years of professional experience in Company Secretarial and Legal functions.
• Must Hold: Company Secretary (CS) and Bachelor of Laws (LLB).
• Strong knowledge of corporate restructuring, governance processes, and regulatory compliance.
